Any such revision will be binding and effective immediately upon posting of the revised Agreement on our website. Your continued use of our services constitutes agreement to any revision of the terms and conditions of this Agreement.

This Agreement shall be governed in all respects by the laws of Australia and by the laws of the State of Queensland. Each of the parties irrevocably consents to the exclusive personal jurisdiction of the federal and state courts located in Queensland, as applicable, for any matter arising out of or relating to this Agreement.

365 Architechs (365A) Developed Software 

By using 365A developed software (software) or paying the applicable Charges you agree to these Terms and Conditions. In the event you no longer wish to be bound by these Terms and Conditions, you must cease utilising the software. 

 

The software is provided on ‘as is’ basis and that you will make your own investigations into whether or not the software is fit for your purposes. To the maximum extent permitted by law, no further warranty, condition or undertaking or term, express or implied, statutory or otherwise as to the condition, quality, performance or fitness for purpose of the Software provided is given or assumed by us other than is required at law. 

 

Reasonable endeavours will be used to provide constant, uninterrupted access to the Software, but with any software basic product this cannot be guaranteed. We will not be responsible or liable for any direct or indirect losses or damages suffered or sustained by you as a result of, or in connection with, any interruption or delay in accessing and using the software. 

 

When using the software you will not, and you will ensure that the Authorised Users will not:  

  1. modify the software 
  1. record, reverse engineer, copy, duplicate, reproduce, create derivate works from, frame, download, display, transmit or distribute any of the software, the source code of the software or any documents, manuals or setup instructions provided with the software 
  1. license, sell, rent, lease transfer, assign or otherwise commercially exploit the software 
  1. engage in unlawful behaviour, including unathorised access to or use of data, services, systems or networks, including any attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures. 

 

Total liability to you or any third party, for any event or series of related events, will be limited to the total charges you paid (excluding GST and expenses) to access and use the software and services in the 12 months prior to the event(s). No liability will be assumed for any losses suffered or any damage caused by errors or omissions in any information or instructions provided by us in connection with the Software. You bear the responsibility for verifying the accuracy and suitability of any information contained in the software.
